What Is Chapter 11 Bankruptcy?

Chapter 11 bankruptcy is a reorganization bankruptcy primarily used by businesses — corporations, partnerships, LLCs, and sole proprietors — as well as high-debt individuals who exceed Chapter 13 debt limits. It allows the debtor to remain in possession of assets and continue operating while developing a court-approved reorganization plan to restructure debts, renegotiate contracts and leases, and return to profitability. Chapter 11 is the most complex and expensive form of bankruptcy, but it can be the difference between a business surviving or closing permanently.

Who Qualifies for Chapter 11?

  • Corporations, LLCs, and partnerships of any size
  • Sole proprietors with business debts they need to restructure
  • Individuals with debts exceeding Chapter 13 limits ($465,275 unsecured / $1,395,875 secured)
  • Businesses that need to renegotiate leases, contracts, or union agreements

The Chapter 11 Process — Step by Step

1

File Petition

The business or individual files a voluntary petition with the bankruptcy court, triggering an automatic stay on all collection activity.

2

Debtor in Possession

In most cases, the existing management continues to operate the business as a 'debtor in possession' with court oversight.

3

Creditors' Committee

A committee of unsecured creditors is formed to represent their interests and negotiate with the debtor.

4

Develop Reorganization Plan

The debtor proposes a plan to restructure debts, which may include renegotiating contracts, selling assets, or converting debt to equity.

5

Plan Confirmation

Creditors vote on the plan and the court confirms it if it meets legal requirements and is feasible.

6

Plan Execution

The confirmed plan is implemented, debts are restructured, and the business emerges from bankruptcy as a reorganized entity.
